Terms of Service

These Terms of Service (the "Terms") form a binding agreement between you and Aiobis ("Aiobis", "we", "us", or "our") and govern your access to and use of AlphaProxy — our autonomous AI agent platform, including the AlphaProxy web application, APIs, browser automation, code execution sandboxes, integrations, documentation, and related services (collectively, the "Service").

01 Acceptance of these Terms

By creating an account, signing in, clicking a button indicating agreement, or otherwise accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms and by our Privacy Policy, which is incorporated by reference. If you do not agree, you must not access or use the Service.

If you use the Service on behalf of a company, organization, or other legal entity (a "Customer"), you represent that you have authority to bind that entity, and "you" refers to that entity.

02 Description of the Service

AlphaProxy is an autonomous, multi-tool AI agent platform. Depending on your plan and configuration, the Service may, at your direction, perform tasks such as:

  • Reasoning over your prompts using large language models supplied by us or third-party providers (including, without limitation, Azure OpenAI, OpenAI, Anthropic, and other LLM vendors).
  • Executing code, shell commands, and Python scripts inside isolated cloud sandboxes (including E2B-based environments) and returning results.
  • Browsing the public web on your behalf, including navigating pages, filling forms, and capturing screenshots and content.
  • Reading, generating, and modifying files, documents, spreadsheets, code, images, and other artifacts.
  • Persisting memory, knowledge, projects, skills, scheduled tasks, and conversation history across sessions.
  • Connecting to third-party services and APIs that you authorize, including identity providers, productivity suites, and developer tools.
  • Coordinating subordinate agents and skills to accomplish complex multi-step workflows.

Specific features may be added, modified, gated by plan, or removed over time, as described in Section 21.

03 Accounts and authentication

To use most features of the Service, you must create an account. AlphaProxy supports authentication via Supabase-managed credentials and via third-party identity providers, including Google (Google OAuth), Microsoft (Microsoft Entra ID / Microsoft account), GitHub, and LinkedIn.

  • You must provide accurate, current, and complete information and keep it up to date.
  • You are responsible for safeguarding your credentials, OAuth refresh tokens, API keys, and any device on which you remain signed in.
  • You must promptly notify us of any unauthorized access to or use of your account.
  • We may refuse, suspend, or revoke accounts at our reasonable discretion, including where required by law, security, or these Terms.

Each individual must use their own account; sharing a single account between multiple humans is not permitted unless expressly authorized as part of a team or enterprise plan.

04 Eligibility and authority

You must be at least 18 years old and able to form a binding contract under applicable law to use the Service. The Service is not directed to children under 13 (or the higher minimum age required in your jurisdiction), and we do not knowingly collect personal information from such children.

You represent and warrant that: (a) you and any data, accounts, or content you connect are not subject to sanctions or located in an embargoed jurisdiction; (b) you will not use the Service to violate any applicable law or third-party right; and (c) where you connect a third-party account or data source, you have all necessary rights and consents to do so.

05 Plans, billing, and trials

Free, paid, and trial plans

The Service is offered on free, paid, trial, and enterprise plans. Plan limits, features, and pricing are described on the AlphaProxy pricing page or in your order form. We may change pricing or plan composition for future billing periods on prior notice.

Fees and renewals

  • Paid plans renew automatically at the end of each billing period (monthly or annual) unless cancelled.
  • Fees are charged via our payment processor and are exclusive of taxes; you are responsible for applicable taxes.
  • Except where required by law, fees are non-refundable. Trials may be ended or modified at any time.

Usage-based components

Certain capabilities — including LLM tokens, sandbox execution time, browser sessions, storage, and integrations — may be metered. Excessive or anomalous usage may be rate-limited or charged on an overage basis as described in your plan.

06 Your content and inputs

"Customer Content" means any data, prompts, files, code, documents, browser inputs, third-party data you connect, and outputs derived from them that you submit to or generate through the Service.

As between you and Aiobis, you retain all right, title, and interest in your Customer Content. You grant us a worldwide, non-exclusive, royalty-free license to host, store, transmit, display, modify, and process Customer Content solely as needed to operate, maintain, secure, support, and improve the Service for you, and to comply with law.

You are solely responsible for your Customer Content, including its lawfulness, accuracy, and your right to submit it. You must not upload Customer Content that you are not permitted to share or that violates these Terms or any third-party right.

We do not use your Customer Content to train foundation models for use by other customers without your explicit opt-in. Aggregated, de-identified telemetry may be used to operate, secure, and improve the Service, as further described in our Privacy Policy.

07 Autonomous agent actions

AlphaProxy is an autonomous agent. When you instruct it to perform a task, it may, on its own initiative and as part of completing your goal:

  • Execute code and shell commands in isolated sandboxes.
  • Open and interact with web pages on your behalf, including filling forms and clicking actions.
  • Send requests to third-party APIs, including those you have connected via OAuth.
  • Create, modify, or delete files within its working directory or connected resources.
  • Spawn subordinate agents or skills to break down sub-tasks.

You acknowledge that autonomous execution carries inherent risk and that you remain solely responsible for any action the agent takes on your behalf or under your direction, including any data created, modified, deleted, or transmitted, and any contracts, transactions, communications, or commitments initiated through such actions. You agree not to use the Service to direct actions that you are not authorized to perform yourself.

You should review high-impact actions before allowing the agent to perform them and should not authorize the agent to act on resources, accounts, or systems for which you cannot accept the consequences of automated action.

08 Third-party services and integrations

The Service relies on, and lets you connect to, third-party services. These currently include, without limitation: Microsoft Azure (compute, networking, storage, Key Vault, Cosmos DB, Service Bus, AI Search, OpenAI), Supabase (authentication and user metadata), E2B (sandboxed code execution), search and content providers (such as Tavily, Exa, and Brave), and LLM providers (such as OpenAI, Anthropic, Google, and others).

Your use of any third-party service is governed by that third party's terms and privacy practices. We are not responsible for third-party services, their availability, their content, or their handling of data, beyond our own contractual and security obligations to you. If a third-party service changes, deprecates, or restricts functionality, the corresponding feature in AlphaProxy may be impacted.

09 Google and Microsoft OAuth scopes

When you choose to sign in with Google or Microsoft, you authenticate through that provider and we receive a limited identity profile (typically your name, email address, profile image, and a unique provider-issued user identifier).

By default, AlphaProxy requests only the minimum identity scopes required to authenticate you, create your account, and personalize the Service. We do not request access to your inbox, calendar, drive, contacts, or other product data unless you explicitly enable a feature that requires that scope and you grant it through the provider's consent screen.

  • You can revoke OAuth access at any time from your Google or Microsoft account settings.
  • If we add features that require additional Google or Microsoft scopes (for example, sending emails, reading mailbox metadata, or accessing OneDrive), we will request your explicit, granular consent at the time those scopes are needed.
  • AlphaProxy's use and transfer of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. Equivalent commitments apply to data received from Microsoft APIs under the Microsoft identity platform.

10 Acceptable use

You must not, and must not permit any user, agent, or integration to, use the Service to:

  • Violate any applicable law, regulation, or third-party right, including intellectual property, privacy, publicity, contract, or export-control rights.
  • Generate, distribute, or facilitate child sexual abuse material; non-consensual sexual content; content that promotes self-harm; or content that incites violence, terrorism, or unlawful discrimination.
  • Build or operate malware, ransomware, spyware, key-loggers, denial-of-service tooling, exploit kits, or material designed to disrupt, damage, or gain unauthorized access to systems.
  • Circumvent authentication, authorization, rate limits, paywalls, CAPTCHAs, or other access or security controls of any system, including ours and third-party services.
  • Engage in fraud, phishing, scraping in violation of applicable terms, market manipulation, deceptive impersonation, or unsolicited bulk messaging.
  • Use the Service to provide regulated professional advice (medical, legal, financial, or similar) where you are not authorized to do so, or to make automated decisions with legal or similarly significant effect on individuals without appropriate human oversight.
  • Reverse engineer, decompile, or attempt to derive source code, model weights, or training data from the Service, except to the extent expressly permitted by law.
  • Resell, white-label, or operate the Service as a standalone competing product without a written agreement with us.
  • Use the Service to train, fine-tune, or evaluate AI models that compete with the Service.
  • Perform automated, large-scale data extraction from third parties in a manner that materially burdens those parties' systems or breaches their terms.

We may investigate suspected violations and take appropriate action, including warning, throttling, suspending, or terminating access, and cooperating with law enforcement.

11 Security and sandboxing

We implement administrative, technical, and physical safeguards designed to protect Customer Content, including encrypted storage, encrypted transport, role-based access, isolated execution environments for code and browser automation, and secrets management via Azure Key Vault.

You are responsible for: (a) configuring your account, projects, and integrations securely; (b) not embedding secrets, credentials, or sensitive personal data into prompts or files unless you understand the implications; and (c) reviewing third-party connections you grant access to.

12 AI output, accuracy, and reliance

The Service uses probabilistic AI models. Outputs may be inaccurate, incomplete, biased, or out of date, and identical or similar inputs may yield different outputs for different users. AlphaProxy may, in agentic mode, make decisions and take actions based on its interpretation of your goals.

You agree that you will:

  • Independently verify any output before relying on it for any decision, transaction, communication, code release, financial action, or other consequential activity.
  • Not present AI output as fact, professional advice, or as the work of a human where doing so would be misleading or unlawful.
  • Use appropriate human oversight, especially for high-impact, irreversible, or regulated tasks.

13 Intellectual property

The Service, including its software, models we train, prompts and skill scaffolding we author, documentation, branding, designs, and underlying architecture, is owned by Aiobis or its licensors and is protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable, non-sublicensable right to access and use the Service in accordance with these Terms and your plan.

Subject to your compliance with these Terms, as between you and Aiobis, you own outputs generated by the Service for you in response to your inputs ("Outputs"), to the extent such Outputs are eligible for ownership under applicable law. You are responsible for evaluating Outputs for accuracy, originality, and any third-party rights, including any rights in materials reproduced or transformed by AI models.

14 Feedback

If you provide suggestions, ideas, or feedback about the Service, you grant us a perpetual, irrevocable, royalty-free, worldwide license to use that feedback for any purpose, without obligation to you.

15 Confidentiality

Each party may receive non-public information from the other ("Confidential Information"). The receiving party will use Confidential Information only to exercise rights and perform obligations under these Terms, will protect it with at least reasonable care, and will not disclose it except to representatives bound by similar obligations or as required by law. This section does not apply to information that is or becomes public without breach, was independently developed, or was rightfully obtained from a third party without restriction.

16 Privacy

Our handling of personal data is described in the Privacy Policy. By using the Service, you consent to the practices described there to the extent permitted by applicable law. Where you process personal data of your end users through the Service, you act as the controller and we act as the processor, subject to our Data Processing Addendum, available on request.

17 Suspension and termination

You may stop using the Service and delete your account at any time. We may suspend or terminate your access (in whole or in part):

  • For breach of these Terms or our Acceptable Use rules.
  • To address suspected fraud, abuse, security risk, or unlawful activity.
  • If required by law, regulation, or a third-party provider on which the Service depends.
  • For non-payment of undisputed fees.
  • If we discontinue the Service or a feature, with reasonable prior notice where practicable.

On termination, your right to use the Service ceases. We may delete Customer Content after a reasonable period, except where required to retain it by law. Sections that by their nature should survive termination (including IP, fees accrued, disclaimers, limitations of liability, and dispute resolution) will survive.

18 Disclaimers

To the maximum extent permitted by law, the Service is provided "as is" and "as available", without warranties of any kind, express or implied, including merchantability, fitness for a particular purpose, non-infringement, accuracy of AI outputs, uninterrupted operation, or that the Service will meet your requirements.

We do not warrant that AI outputs are accurate, current, complete, safe, lawful in your jurisdiction, suitable for a specific use, or free of bias. You assume all risk associated with relying on AI outputs and autonomous actions.

19 Limitation of liability

To the maximum extent permitted by law:

  • Neither party will be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, lost revenue, lost data, business interruption, or cost of substitute services, even if advised of the possibility of such damages.
  • Each party's aggregate liability arising out of or related to these Terms or the Service will not exceed the greater of (a) the fees you paid to us for the Service in the twelve (12) months preceding the event giving rise to the claim, and (b) USD one hundred (USD 100).

The foregoing limitations do not apply to: (i) your payment obligations; (ii) your indemnification obligations; (iii) breach of confidentiality; (iv) infringement or misappropriation of the other party's intellectual property; or (v) liability that cannot be excluded or limited under applicable law.

20 Indemnification

You will defend, indemnify, and hold harmless Aiobis and its affiliates, officers, employees, and agents from and against any claim, demand, loss, liability, damage, or expense (including reasonable attorneys' fees) arising out of or related to: (a) your Customer Content; (b) your use of the Service in violation of these Terms or applicable law; (c) actions taken by AlphaProxy at your direction or based on inputs you provided; or (d) your violation of any third-party right.

21 Changes to the Terms or the Service

We may update these Terms from time to time. If we make material changes, we will notify you by email, in-product notice, or by updating the "Last updated" date and posting the revised Terms here. Material changes become effective no earlier than fourteen (14) days after notice, except where shorter notice is required by law or for security. Continued use of the Service after the effective date constitutes acceptance.

We may add, modify, or remove features at any time. We strive not to materially degrade paid features within an active billing period, but rapidly evolving AI dependencies may require changes on shorter timelines.

22 Governing law and disputes

These Terms are governed by the laws of the jurisdiction of Aiobis's principal place of business, excluding its conflict-of-laws rules. The parties submit to the exclusive jurisdiction of the courts located in that jurisdiction for any dispute arising out of or relating to these Terms or the Service, except that either party may seek injunctive relief in any court of competent jurisdiction.

Where mandatory consumer protection laws of your country of residence apply, nothing in these Terms removes rights you have under those laws.

23 Export, sanctions, and compliance

The Service may be subject to export-control and sanctions laws. You represent that you are not located in, under the control of, or a national or resident of any country or person subject to comprehensive sanctions, and that you will not export, re-export, or use the Service in violation of applicable laws.

24 Miscellaneous

  • Entire agreement. These Terms, together with the Privacy Policy and any order form or DPA, are the entire agreement between you and us regarding the Service.
  • Severability. If any provision is unenforceable, the remaining provisions remain in effect.
  • No waiver. Our failure to enforce a provision is not a waiver of our right to do so later.
  • Assignment. You may not assign these Terms without our prior written consent. We may assign to an affiliate or in connection with a merger, acquisition, or sale of assets.
  • Force majeure. Neither party is liable for delays or failures due to events beyond its reasonable control.
  • Notices. We may give notices via the Service or by email to your account email. You will give notices to [email protected].
  • Relationship. The parties are independent contractors. These Terms do not create a partnership, agency, or employment relationship.
